Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Kata ("we", "our", or "us") governing your access to and use of the Kata website and services at kata.co.uk.

By creating an account or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

2. Description of Service

Kata provides an online platform that enables businesses and self-employed professionals to create and manage professional online profiles. Our services include:

  • Business profile creation and hosting
  • Catalogue and service listing management
  • Team member profiles
  • Business hours and contact information display
  • Image gallery hosting
  • Custom subdomain (yourname.kata.co.uk)

3. Account Registration

To use Kata, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorised access

You must be at least 18 years old to create an account. By registering, you represent that you meet this requirement.

4. Subscriptions and Payments

4.1 Subscription Plans

Kata offers subscription-based access to our services. Details of current plans and pricing are available on our pricing page.

4.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan). Payment is processed through Stripe. By subscribing, you authorise us to charge your payment method on each billing date.

4.3 Free Trials

We may offer free trial periods. At the end of a trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

4.5 Price Changes

We reserve the right to change our prices. We will provide at least 30 days' notice of any price increases. Continued use after a price change constitutes acceptance of the new price.

5. Acceptable Use

You agree not to use Kata to:

  • Violate any applicable laws or regulations
  • Infringe intellectual property rights of others
  • Upload or share illegal, harmful, threatening, abusive, defamatory, or obscene content
  • Impersonate any person or entity
  • Engage in spam, phishing, or fraudulent activities
  • Distribute malware or interfere with the service
  • Collect user data without consent
  • Use automated systems to access the service without permission
  • Promote illegal products or services
  • Create profiles for businesses you do not own or represent

We reserve the right to suspend or terminate accounts that violate these terms.

6. Your Content

6.1 Ownership

You retain ownership of all content you upload to Kata, including text, images, logos, and other materials ("Your Content").

6.2 Licence to Kata

By uploading content, you grant Kata a worldwide, non-exclusive, royalty-free licence to use, display, reproduce, and distribute Your Content solely for the purpose of providing and promoting our services.

6.3 Your Responsibilities

You are solely responsible for Your Content. You represent and warrant that you have all necessary rights to upload and share Your Content, and that it does not violate any third-party rights or applicable laws.

7. Intellectual Property

The Kata service, including its design, features, and content (excluding Your Content), is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

8. Privacy

Your use of Kata is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the service for maintenance, updates, or circumstances beyond our control. We will endeavour to provide advance notice of planned maintenance.

10. Disclaimer of Warranties

KATA IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the service will meet your requirements, be error-free, or that any errors will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KATA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Kata and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the service, Your Content, or your violation of these Terms.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the service ceases immediately. Provisions that by their nature should survive termination will remain in effect.

You may delete your account at any time through your account settings.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or by posting a notice on our website. Your continued use of Kata after changes are posted constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
